2. Acceptance of Terms

2.1 By accessing, registering for, or using the Service, you acknowledge and agree to be bound by these Terms and Conditions (the 'Terms'). If you do not agree to any provision of these Terms, you are not permitted to use the Service.

2.2 By creating an account, you represent and warrant that you are at least 16 years of age. If you are under 18 years of age, you further represent and warrant that you have obtained consent from a parent or legal guardian.

2.3 These Terms form a legally binding agreement between you and Vitticeps Ltd governing your use of the Service.

3. Description of Service

3.1 ShadowingMaster is a web-based language learning tool designed to facilitate pronunciation practice through the shadowing technique. The Service enables users to upload video content, segment such content, adjust playback speed, loop segments, record their own voice, and compare user recordings with the original audio.

3.2 The Service is provided on an 'as is' and 'as available' basis. We reserve the right to alter, update, suspend, or discontinue the Service, or any part thereof, at any time. Where reasonably practicable, we will provide notice of any significant changes to the Service.

3.3 We will use reasonable endeavours to maintain 99% uptime for the Service, excluding periods of scheduled maintenance. We accept no liability for any unavailability or interruption of the Service.

4. Account Registration

4.1 Access to certain features of the Service requires the creation of an account. You agree to provide accurate, current, and complete information during the registration process and to promptly update your account details as necessary to ensure their accuracy.

4.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

4.3 You must notify us without undue delay at contact@shadowingmaster.com if you become aware of any unauthorised access to or use of your account.

4.4 We reserve the right to suspend or terminate your account if we reasonably believe that you have breached any provision of these Terms.

5. Account Inactivity

5.1 If your account remains inactive, meaning you do not log in, for a continuous period of 180 days, we may delete any files and content you have uploaded to the Service.

5.2 Before deleting any uploaded content, we will send at least two email reminders to the email address associated with your account: the first at approximately 150 days of inactivity and the second at approximately 170 days of inactivity. These reminders will inform you that your uploaded files are scheduled for deletion and invite you to log in to retain them.

5.3 If you do not log in within the 180-day period following receipt of these reminders, your uploaded files will be permanently deleted. Such deletion is irreversible.

5.4 For the avoidance of doubt, your account will remain active. You may log in at any time after the 180-day period and continue to use the Service; however, only your uploaded content will be deleted.

5.5 We accept no liability for any loss of data resulting from account inactivity as described in this clause.

6. Free Trial

6.1 We offer a free trial period of fourteen (14) days from the date of account registration (the “Free Trial”).

6.2 During the Free Trial, you may access and use the Service without charge and are not required to provide payment information.

6.3 At the conclusion of the Free Trial, your access to paid features will be restricted unless you purchase a licence. You will continue to see your uploaded files listed in your account, but you will not be able to open or use them until a licence is purchased. If you do not purchase a licence within thirty (30) days following the end of your Free Trial, your uploaded files will be permanently deleted and will not be recoverable. Your account will remain active, and you may log in and purchase a licence at any time.

6.4 We reserve the right to modify the terms, duration, or availability of the Free Trial at any time without prior notice.

7. Payment and Pricing

7.1 The Service is available for a one-time payment (the “Licence Fee”). The current Licence Fee is displayed on the website at the time of purchase.

7.2 Early Bird Pricing: At our discretion, we may offer an introductory early bird price to early adopters of the Service. The early bird price will be available for a limited time or to a limited number of users, as specified on the website. We reserve the right to change the early bird price or discontinue the offer at any time.

7.3 Upon payment of the Licence Fee, you are granted a non-exclusive, non-transferable, personal licence to use the Service for as long as the Service continues to be operated by Vitticeps Ltd (the “Licence”). This Licence does not guarantee perpetual access to the Service. Vitticeps Ltd reserves the right to cease operating the Service at any time, at which point the Licence will terminate. In such an event, Vitticeps Ltd will endeavour to provide at least ninety (90) days’ notice to registered users before discontinuing the Service.

7.4 The Licence Fee includes all features available at the time of purchase. Any new features introduced after your purchase may be included at our discretion, but inclusion is not guaranteed.

7.5 All prices are stated in US Dollars (USD) unless otherwise indicated. All prices displayed on the website are inclusive of any applicable taxes. The price displayed at the time of purchase is the total price payable.

7.6 Payments are processed by our third-party payment processor. By making a payment, you agree to be bound by the payment processor’s terms of service. Vitticeps Ltd does not store your full payment card details.

7.7 A receipt for your payment will be available for download from your profile page at any time after purchase.

8. Refund Policy

8.1 As a fourteen-day Free Trial is provided to allow you to evaluate the Service prior to making any payment, all purchases are final and non-refundable.

8.2 No refunds will be issued after payment has been processed, except where required by applicable law.

8.3 If you believe you have been charged in error, you must contact us at contact@shadowingmaster.com within seven days of the charge. We will investigate the matter and, where appropriate, issue a correction.

8.4 Nothing in this clause affects your statutory rights as a consumer under applicable law, including the Consumer Rights Act 2015.

9. Uploaded Content

9.1 The Service allows you to upload video content for the purpose of language practice (“Uploaded Content”).

9.2 By uploading any content to the Service, you represent and warrant that:

(a) You own the content, or you have obtained all necessary rights, licences, and permissions from the rightful owner to upload and use the content for personal language learning purposes;

(b) The content does not infringe any third party’s intellectual property rights, privacy rights, or any other rights;

(d) You are solely responsible for the content you upload and the legal consequences of doing so.

9.3 You retain ownership of your Uploaded Content. By uploading content to the Service, you grant Vitticeps Ltd a limited, non-exclusive, royalty-free licence to store, process, and display such content solely for the purpose of providing the Service to you. Your Uploaded Content will not be shared, distributed, sold, or made available to any third party.

9.4 We do not monitor or review the content you upload. However, we reserve the right to remove any Uploaded Content that we become aware of which violates these Terms or applicable law, without prior notice.

9.5 Copyright Infringement: If you believe that content available through the Service infringes your copyright, please contact us at copyright@shadowingmaster.com with the following information: (a) a description of the copyrighted work; (b) the location of the allegedly infringing content; © your contact information; (d) a statement that you have a good-faith belief that the use is not authorised; and (e) a statement, made under penalty of perjury, that the information is accurate and you are authorised to act on behalf of the copyright owner.

9.6 Vitticeps Ltd accepts no liability for any Uploaded Content. You acknowledge and agree that use of Uploaded Content is at your own risk.

10. Acceptable Use

10.1 You agree that you will not use the Service:

(a) In any way that breaches applicable laws or regulations;

(b) In any way that is unlawful or fraudulent;

(d) To transmit any unsolicited or unauthorised advertising or promotional material;

(e) To knowingly transmit any viruses, malware, or other harmful code;

(f) To attempt to gain unauthorised access to the Service, other users’ accounts, or any associated systems or networks;

(g) To reverse-engineer, decompile, or disassemble any part of the Service;

(h) To use the Service for any commercial purpose other than your personal language learning, unless expressly authorised by Vitticeps Ltd in writing;

(i) To share, resell, or redistribute your account credentials or access to the Service.

10.2 We reserve the right to suspend or terminate your account without notice if we reasonably believe that you have violated any of the above provisions.

11. Intellectual Property

11.1 All content on the Service, including but not limited to text, images, graphics, logos, icons, software, design, and underlying code, is owned by Vitticeps Ltd or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

11.2 The ShadowingMaster name, logo, and branding are the property of Vitticeps Ltd. You may not use them without our prior written consent.

11.3 You are not permitted to reproduce, modify, distribute, republish, scrape, or create derivative works from any part of the Service without our prior written consent.

11.4 For the avoidance of doubt, your Uploaded Content remains your property, subject to the limited licence granted in clause 9.3.

12. Newsletter and Communications

12.1 By registering an account, you consent to receive email communications from us, including service updates, feature announcements, and promotional newsletters.

12.2 You may opt out of receiving promotional newsletters at any time by updating your preferences on your profile page or by contacting us at contact@shadowingmaster.com. Please allow up to five working days for your preference to take effect.

12.3 Even if you opt out of promotional communications, we may continue to send you transactional emails necessary for the operation of your account, including payment confirmations, security alerts, and notifications of changes to these Terms.

12.4 We process your personal data in accordance with our Privacy Policy, available at shadowingmaster.com/privacy-policy.

13. Third-Party Links and Services

13.1 The Service may contain links to third-party websites or integrate with third-party services, including payment processors. We have no control over the content or practices of such third parties and accept no responsibility or liability for them.

13.2 Links to third-party websites do not constitute an endorsement of those websites or their content.

13.3 Your use of third-party services is governed by the applicable terms and conditions and privacy policies of those third parties.

14. Disclaimer

14.1 While we use reasonable endeavours to ensure that the Service functions correctly and that information provided is accurate, we make no warranties or representations regarding the accuracy, completeness, reliability, or availability of the Service or its content.

14.2 The Service is a language learning tool and does not guarantee any specific learning outcome, improvement in pronunciation, or fluency in any language. Results may vary depending on individual effort and usage.

14.3 The Service is not a substitute for professional language instruction, speech therapy, or any other professional service.

15. Limitation of Liability

15.1 To the fullest extent permitted by law, Vitticeps Ltd excludes all liability for any loss or damage arising from your use of, or inability to use, the Service, including but not limited to:

(a) Loss of data, including Uploaded Content;

(b) Loss of profits, business, or business opportunities;

(d) Any reliance on the content or functionality of the Service.

15.2 In any event, the total liability of Vitticeps Ltd to you for any and all claims arising out of or in connection with the Service will not exceed the amount you paid to Vitticeps Ltd for the Service in the twelve months preceding the claim.

15.3 Nothing in these Terms excludes or limits our liability for:

(a) Death or personal injury caused by our negligence;

(b) Fraud or fraudulent misrepresentation;

16. Events Outside Our Control (Force Majeure)

16.1 We accept no liability for any failure to perform our obligations where such failure results from events beyond our reasonable control, including but not limited to:

(a) Power failures, internet service provider failures;

(b) Industrial action, civil unrest;

(d) Acts of terrorism or war;

(e) Epidemics or pandemics;

(f) Government action or restrictions;

(g) Failure of third-party services, including hosting providers and payment processors.

17. Privacy and Data Protection

17.1 We process your personal data in accordance with our Privacy Policy, available at shadowingmaster.com/privacy-policy.

17.2 By using the Service, you consent to such processing and warrant that all data you provide is accurate and up to date.

17.3 We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For details on your data rights, please refer to our Privacy Policy.

18. Termination

18.1 You may cease using the Service at any time. You may request deletion of your account by contacting us at contact@shadowingmaster.com or by deleting your account directly from your profile page. All personal data and uploaded content will be permanently deleted or anonymised. There is no requirement to contact us.

18.2 We may suspend or terminate your access to the Service immediately and without notice if:

(a) You breach any provision of these Terms;

(b) We are required to do so by law;

18.3 Upon termination, your right to use the Service will cease immediately. Any provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to clauses relating to intellectual property, limitation of liability, and governing law.

18.4 Termination of your account does not entitle you to any refund of the Licence Fee.

19. Changes to These Terms

19.1 We may update these Terms from time to time. Any changes will be posted on this page with an updated 'Last updated' date.

19.2 For material changes, we will use reasonable endeavours to notify registered users by email.

19.3 Your continued use of the Service after changes are posted will constitute your acceptance of the updated Terms.

19.4 We recommend that you review this page regularly to remain informed of any changes.

20. Severability

20.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

21. Entire Agreement

21.1 These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vitticeps Ltd regarding your use of the Service.

21.2 These Terms supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.

22. Governing Law and Jurisdiction

22.1 These Terms and Conditions are governed by the laws of England and Wales.

22.2 Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

22.3 If you are a consumer, this clause does not affect any mandatory consumer protection rights that apply in your country of residence.
